1. │ INTRODUCTION

Welcome to Onpos, an electronic bill generation; payment and confirmation service that provides convenient, assured and flexible payment solution over the Internet/electronic pay platform using computers, mobile phones and other devices. To be eligible to open an account with Onpos services, you must be 18 years of age, or the age of majority in your state, province, territory or country and as such entitled to its service. Individuals under the age of 18, or applicable age of majority, may utilise the service only with the involvement of a parent or legal guardian, under such person's account and remain otherwise subject to these Terms of Use.

By using Onpos, you are deemed to have entered into an agreement with Onpos and you agree to be bound by the Terms that constitute the entire agreement between Onpos and yourself. You are therefore urged to please carefully read the Terms and conditions and ensure that you understand them as articulated by us and agree that our relationship shall be governed by these before accessing the Website. The following Terms of Use govern your use of our service. As used in these Terms of Use, "Onpos service," "our service" or "the service" means the service provided by Onpos for bill generation; payment and confirmation including all features and functionalities, website, and user interfaces, as well as all content and software associated with our service.

IF YOU DO NOT AGREE TO ANY SUBSEQUENT CHANGES TO ONPOS TERMS AND CONDITIONS WHICH MAY OCCUR FROM TIME TO TIME, YOU ARE EXPECTED TO CLOSE YOUR ACCOUNT. FAILURE TO DO SO WOULD BE DEEMED TO BE AN ACCEPTANCE OF THE REVIEWED OR CHANGED TERMS AND CONDITIONS.

2. │ TERMS OF USE AND CHANGES TO TERMS OF USE

Onpos may, from time to time, revise or change these Terms of Use. Such revisions or changes shall be effective immediately provided however, for existing members, such revision shall, unless otherwise stated and any such changes will be displayed on this page and deemed be effective after posting. Onpos further reserves the right to discontinue, modify, suspend or cancel any part of the Website and the Services offered therein at any time without notice and you agree to be bound by such modifications.

3. │ INTELLECTUAL PROPERTY

All the Services provided by Onpos on its Website or its platform, its design and Contents are all the intellectual property of Onpos and all the necessary permissions, licenses, releases and requisite consent required for the services provided have been acquired. "Intellectual Property" in this context means copyrights, database rights, trademarks, trade names, domain names, rights in logos, get-up and content, inventions, trade secrets and know-how, patents, all rights of whatever nature in computer software and data, all rights of privacy and all intangible rights and privileges of a nature similar to any of the above, in every case in any part of the world and whether or not registered; and including all granted or pending registrations, and all rights to make applications for registration in respect of any of the same.

Onpos grants individual Users a non-exclusive license to use of the platform and such license is revocable by Onpos at any time without notice. You are therefore NOT granted any commercial, sale, resale, reproduction and promotional use or distribution rights for the Contents on the Website. Users are prohibited from reproducing, copying, uploading, exporting, transferring, selling, forwarding or transmitting the Contents on the Website other than in accordance with the license granted and further not to reproduce any information of the Website on any other website. Users may only access and view the Contents personally and for a non-commercial purpose in compliance with these Terms.

Users may not either directly or through the use of any device, software, internet site, web-based service, or other means remove, alter, bypass, avoid, interfere with, or circumvent any copyright, trademark, or other proprietary notices marked on the Contents or any digital rights management mechanism, device, or other content protection or access control measure associated with the Contents including geo-filtering mechanisms.

Users may not incorporate the Contents into the Contents of Onpos website, platform or hyperlink via any hardware or software application or make it available via line links unless expressly permitted by Onpos in writing. Users may not build or associate with a business utilising the Contents of Onpos website and/or associated hyperlinks , whether or not for profit covered by these restrictions regarding any text, graphics, layout, interface, logos, photographs, audio and video materials, and stills. In addition, Users are strictly prohibited from creating derivative works or materials that otherwise are derived from or based on in any way the Contents, including source code, branded items desktop themes, greeting cards, and merchandise, unless it is expressly permitted by PeerGrid Solutions Ltd in writing. This prohibition applies even if the User intends to give away the derivative materials free of charge.

You agree not to arrange for any other website to be connected to this Website by way of hyperlink or otherwise without the prior written consent of Onpos.

Onpos cannot control such content and you agree that Onpos is not responsible for any errors or omissions or representations in relation to the contents on those sites, which contravenes the User's) rights or violates any applicable law for the time being in force.

Onpos and its agents or representatives do not endorse or in any respect warrant any third party products or services by virtue of any information or content referred to, or included on, or linked from or to the Website.

4. │ PRIVACY AND COMMUNICATION ON OUR PLATFORM

Onpos does not guarantee the accuracy, integrity or veracity of any posts on Onpos website. However, you acknowledge and agree that we have the right to monitor and to alter, edit, refuse to post or remove any comment that you post to the Website, in whole or in part, for any reason or for no reason, in our sole discretion, and you agree that we do not have any obligation to use or respond to any comment. In relation to information provided by you on the Onpos Website, you further agree:

If any of the Terms herein are breached, we reserve the right to trace your IP address, contact your service provider and ask that you be blocked from accessing the Website. Furthermore, the unauthorised use of this Website may give rise to a claim in damages or may be a criminal offense.

Onpos reserves the right to edit or delete any messages left on Onpos website, including but not limited to any message which contravenes these Terms.

For example, we engage Services Providers to provide marketing, communications, infrastructure and IT services, personalise and optimise our service, process credit/debit card transactions, provide customer service, collect debts, analyse and enhance data, including users' interaction with our service, and process consumer surveys.

In the course of providing such services, these other companies may have access to your personal information. We do not authorise these companies to use or disclose your personal information except in connection with providing the services we request of them.

6. (ii) │ACCESS TO YOUR INFORMATION

We give you access and the ability to review and update a broad range of information about your account, including your contact information, your transaction history and values as your communication preferences in the "Onpos HTML App" portion of our website. You must be signed in to access "Onpos HTML App". Unless your account is restricted or subject to query or investigation by any police, law enforcement agency, bank or financial institution hosting the transaction card or the financial regulatory agencies, you can access your account details to review your account details as well as review completed transactions or executed pay and your other account information by logging in and clicking on ''my Onpos account''.

7. │ REGISTRATION AND SETTING UP YOUR ACCOUNT


In other to access the Services provided on the Website, the User will have to create an account with Onpos either by formally registering with Onpos, or via a third party such as our marketing staff with duly signed ID cards, our contact center lines or formally registered agent networks ONPOS IS NOT RESPONSIBLE FOR ESTABLISHING OWNERSHIP OF AN ACCOUNT USED BY AN INDIVIDUAL OR MERCHANT TO TRANSACT THROUGH ITS PLATFORM OR INTERFACE. ONPOS IS ONLY RESPONSIBLE FOR VALIDATION THAT SUCH ACCOUNT ACTUALLY EXISTS BUT SHALL NOT BE RESPONSIBLE FOR ESTABLISHING THAT AN ACCOUNT IS INDEED OWNED BY THE PERSON OR MERCHANT USING IT FOR PAYMENT.

ONPOS IS ALSO NOT IN A POSITION TO NEITHER ARE WE TO LEND OURSELVES TO CONFIRM THAT AN ACCOUNT IS UNDER INVESTIGATION OR LIEN OR COVERED BY ANY CAVEAT OR ENCUMBERANCE. IT IS THE PAYERS' OR MERCHANT'S OBLIGATION TO ESTABLISH OR CONFIRM THAT THE BILLER'S PARTICULARS AND ACCOUNT DETAILS ARE INDEED AS STATED ON HIS BILL.

IT IS THEREFORE YOUR RESPONSIBILITY to provide accurate and complete information when creating your account. If any information provided by you is determined by Onpos in its sole discretion to be untrue, inaccurate, not current, incomplete, misleading or designed to deceive, or if Onpos has reasonable grounds to believe that such is the case, Onpos reserves the right to immediately suspend or terminate your account, either with or without notice to you. Subsequent upon this, Onpos reserves the right to refuse to grant any and all current or future access and use of its Services as well as benefit to which you may be entitled through your access and use of the Website.

Onpos shall be entitled to take all steps it considers expedient to verify the information contained in the Merchant's or User's application form; and provide any confidential information relating to any account operated by the Merchant at its bank to any person (including any credit bureau) according to the code of banking practice or generally accepted banking practice. Merchant consents to the disclosure by Onpos of any information concerning the Merchant to any Financial Institution for use in any fraud investigation or prevention schemes authorised by the Central Bank of Nigeria and other regulatory and Law Enforcement agencies they may set up, collectively or individually. Information may also be disclosed to law enforcement, security organisations, Merchant Performance Reporting Services etc for the purpose of helping other Financial Institution, law enforcement or investigating bodies/agencies to identify merchants who are, or are suspected of being, or likely to become involved in fraud; or in any other fraud prevention matter.

8. │ACCOUNT TYPES

TYPES OF ACCOUNTS: Onpos offers two different types of accounts. These are:

(I) Individual accounts
(ii) Business accounts
Please note that, you are entitled to open only valid account/s representing your individual or legally registered business entity. Under no circumstance should you have multiple Onpos accounts or act in a representative capacity or as a proxy for any individual or company unless you do so as an authorised representative of your employer, such authorisation to be in writing. In this event however, the account must be in the company's name. You must have and provide us with a current, valid, accepted identification where required and also method of payment (as such may be updated from time to time, "Payment Method") to use the Onpos service.

10. │SETTLEMENT OF TRANSACTIONS/EXECUTION OF PAYMENT

All settlements into merchants account would occur on the day of the transaction plus 24 hours. The settlement period is subject to all prevailing and applicable financial regulations in Nigeria. If an expected transaction is not settled within the expected time an account owner is expected to contact Onpos service through any of our channels including call center service and email at helpdesk@onpos.com.ng. Onpos would use best efforts to ensure funds settlement and shall not be liable to any damages to the recipient of the funds due to any delays

11. │BILLING

11(a) As used in these Terms of Use, "Billing" shall indicate either a charge or debit, as applicable, against your Payment Method. Onpos Transactional charges shall be billed and deducted on each transaction, simultaneously with the completion of processing of the transaction itself.

11 (b) By ''completion'' of a purchase or transaction, we mean once a successful debit and credit has occurred. By using the Onpos platform for purchase/transactions, you further expressly agree and authorise Onpos to charge you a transaction/processing fee as stated in the approved FEES section and also agree to be liable for any other fees for additional services you may purchase, as well as any applicable taxes outside of Nigeria in connection with your use of a debit or credit card, Paypal, or via any other payment method accepted by Onpos ("Payment Method") or the payment method you provided during registration. You acknowledge that the amount charged by Onpos per transaction may vary either due to promotional offers, or changes in applicable taxes, and you authorise us to charge your Payment Method for the corresponding amounts. If Onpos changes the transactional charges/fees or other charges for from time to time, we will give you advance notice of these changes by email. Onpos is however not in a position to notify you of changes in advance of any changes to applicable taxes as these rates and determinations are not within its control.

If you want to use a different Payment Method than the one you signed up for during registration, or if there is a change in your Bank Details; you can update same information during bill generation under your "Account Details" section.

11 (c) Onpos may from time to time offer introductory/courtesy ''free trials'' for new and certain former users of our service. Onpos reserves the right, in its absolute discretion, to determine your free trial eligibility. If we offer a free trial, we will begin your billing, using your Payment Method at the end of the free trial period without recourse or a reminder to you. To view the specific details of our charges and period and end date of your free trial period, visit our website and click the "View billing details" link on the "Your Account" page. We may authorise your Payment Method through any acceptable methods.

You will not receive a notice from us that your free trial period has ended or that the paying portion of your membership has begun.

11 (d) If your Payment Method expires, any transaction that was approved but subsequently declined on account of expiration either of card after transaction but before clearing of debited funds into the merchant's and Onpos account or other reason shall remain your obligation. If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, you remain liable for payment either to a merchant or Onpos for the transactional charge/fee once and immediately a transaction is completed using Onpos platform.

Onpos is not liable for non delivery of goods or provision of services though paid for using the Onpos platform.

12. │SAFEGUARDING YOUR ACCOUNT, ACCESS/PIN NUMBERS, PASSWORDS AND TOKENS

The User SHALL be solely responsible for activities that occur on such User's account. It is your responsibility and we urge that you must keep your account password, access code or PIN number secure at all times. You MUST KEEP YOUR PIN OR ACCESS NUMBER OR PASSWORD PERSONAL AND PRIVATE. Onpos DOES NOT store either in transit or at rest any PIN details! You must notify Onpos immediately of any possible or actual breach on or unauthorised use of your account. IT IS ALSO YOUR RESPONSIBILITY to immediately report same to the police, law enforcement agency, bank or financial institution hosting the transaction card or the financial regulatory agencies and obtain/keep a report slip issued to you on the disputed transaction or activity carried out by a third party without your knowledge and authorisation.

Any materially different terms from those described in these Terms of Use will be disclosed at your sign-up or in other communications made available to you. You can find specific details regarding your transactional relationship membership with Onpos by visiting our website If you signed up for Onpos using your account with a third party (i.e., iTunes, or similar account) as a Payment Method, and wish to cancel your account at any time, including during your free trial, you will need to do so through such third party, including by visiting your account with the applicable third party and turning off auto-pay, or any other pre-formatted set up for the Onpos service. You may also find billing information about your transactions by visiting your account with the applicable third party. For certain Payment Methods, the issuer of your Payment Method may charge you a foreign transaction fee or other charges. Check with your Payment Method service provider for details.

13. │SERVICE DELIVERY

ONPOS IS NOT RESPONSIBLE FOR THE SAFE DELIVERY OF SERVICES PAID FOR BY AN INDIVIDUAL OR A MERCHANT USING ITS PLATFORM. THE ONPOS PLATFORM IS ONLY A FACILITATOR OF CONVENIENT E-PAYMENT. ONPOS IS MERELY A CONDUIT BETWEEN TWO PARTIES WHO HAVE MUTUALLY AGREED TO TRANSACT ON TERMS. THE OBLIGATION TO EITHER DELIVER GOODS AND SERVICES PAID FOR AS EXPECTED BY THE PAYING PARTY RESTS ENTIRELY WITH THE SERVICE PROVIDER AND NEVER WITH ONPOS! ANY REFUNDS, SET-OFFS ETC ON ACCOUNT OF CANCELLATIONS, BREACH OF TERMS OF CONDITIONS AS CONTAINED IN A DISPLAYED BILL, DELAYS OR NON DELIVERY OF SERVICE SHALL BE DISCUSSED BETWEEN THE MERCHANT/SERVICE PROVIDER AND THE PAYING PARTY.

14. │FRAUDULENT AND ILLEGAL TRANSACTIONS

Fraudulent transactions and illegal transactions shall include but not be limited to:

Any purchase and/or transaction arising from the use of an account to purchase any item prohibited by law such as Alcohol, Firearms, Tobacco, Drugs, Drug Paraphanelia, poisons, toxic material, combustible material, material and substances for making Improvised Explosive Devices and all such other items as may be prohibited by law or listed as ''controlled items''.

Any purchase and/or transaction arising from the use of an account by a person other than the authorized accountholder.

Use of an account that is not authorised in terms of the rules governing the issue and use of Internet Banking Services.

Onpos SHALL NOT be responsible for the actions of Merchant's employees including fraudulent acts or omission. In the event that fraudulent transactions account for more than 0....% of the Merchant's sales turnover in any one month, Onpos will, in addition to any other remedy available to it, be entitled to terminate this Agreement forthwith.

The Service is controlled and offered by from its facilities. Those who access or use the Service from other jurisdictions do so at their own volition and are responsible for compliance with local laws. You SHALL be liable for the direct and consequential damages or losses of Onpos due to the unauthorised use of your account. FOR EMPHASIS, PLEASE NOTE THAT ONPOS SHALL NOT BE LIABLE FOR FRAUD OR LOSSES CAUSED BY ANY UNAUTHORISED USE OF THE ACCOUNT, TOKEN, PIN NUMBER OR PASS WORD OF ANY INDIVIDUAL, MERCHANT OR BUSINESS ACCOUNT HOLDER.

Onpos reserves the unfettered right to on reasonable grounds of evidence and objectivity, honour any request from a bank, law enforcement or financial regulatory agency or on its own volition, to suspend or close a merchant's Onpos account. The owner of an account can request and is indeed entitled to an electronic archive of all receipts of past transactions. This will be generated and given to the individual or merchant within a reasonable time.

15. │INDEMNITY

You agree to indemnify, defend and hold harmless Onpos, their successors, affiliates, each of their subsidiaries, officers, directors, employees, advertising and promotion agencies, representatives or agents (collectively the "Indemnified Parties") from and against any and all losses, liabilities, claims, obligations, damages, expenses or costs (including but not limited to attorney's fees) incurred by or made against any Indemnified Party arising from:

use of and access to the Service, violation of any of the Terms, policy or guidelines referred to herein violation of any third party right, including without limitation any Copyright, Property or Privacy right; or any claim that our Content caused damage to a third party. This defense and indemnification obligation will survive the Terms and use of the Services.

16. │CANCELLATION

You can close your account at any time. To cancel your account, you can call our contact center or email us via helpdesk@onpos.com.ng. This closure would occur with best effort without violating integrity of current or ongoing transactions on your account.

17. │DISCONTINUATION OF SERVICES

Onpos is determined to and continues to work at providing you the with the services you have agreed to and on the terms mutually agreed to between you and Onpos. We hope not to, but we may change, suspend, or discontinue - temporarily or permanently - some or all of the our services at any time without notice based on expediency which determination would be reasonably made only after thorough evaluation of the necessitating circumstances. You acknowledge that Onpos may do so at our sole discretion.

You also agree that neither Onpos nor their successors, affiliates, each of their subsidiaries, officers, directors, employees, advertising and promotion agencies, representatives or agents (collectively the "Indemnified Parties") subsidiaries, successors, shall be liable to you for any losses occasioned by our suspension of the aforementioned Services.

18. │GOVERNING LAW

The Terms and Conditions of this Website are governed by and construed in accordance with the laws of Federal Republic of Nigeria and the Courts of the Federal Republic of Nigeria ONLY shall have exclusive jurisdiction to determine any dispute in connection with such terms or use of the Website.

19. │CHANGES TO THIS POLICY

Onpos may, from time to time, make changes to this Privacy Policy. In these cases, the policy will be automatically updated and notification of the change/update communicated to your email account.
